Registered Agent

Every LLC and corporation must name a registered agent in its state of formation, and that address is where lawsuits and state notices arrive.

We arrange the agent at formation or through a change filing, make sure the registered office is a compliant street address, and send you scanned legal and state mail with a plain explanation of what it means.

  • Confirmed on the state record

A registered agent in New Jersey, Delaware or Wyoming

Every LLC and corporation must name a registered agent: the person or company that receives lawsuits, subpoenas and official state mail for the business. If you form in New Jersey, you need an NJ registered agent with a New Jersey street address. If you form in Delaware or Wyoming, the agent must be in that state.

Many owners name themselves at first, then realize the trade-offs. Their home address goes on public filings. They have to be available during business hours to accept papers. And if they move or travel, an important notice can sit unopened while a deadline runs. For owners outside the U.S., being your own agent is usually not possible at all.

We arrange your registered agent as part of our business formation services, or on its own for an existing company, so the role is covered and the notices come straight to someone who can explain them.

What a registered agent does

A registered agent has one job: to be reliably reachable at a fixed address so the state and the courts can deliver documents to your company. In practice that means:

  • Receiving service of process. If someone sues the business, the papers are delivered to the agent.
  • Receiving official state mail. Annual report reminders, tax notices and status letters often go to the registered address.
  • Keeping the registered office. A physical street address in the state, staffed during normal business hours. A P.O. box alone is not accepted.

Registered agent rules by state

  • New Jersey: an LLC must continuously maintain a registered agent and registered office in the state. The agent can be a New Jersey resident or a business authorized to do business in New Jersey, and the office must be a New Jersey street address.
  • Delaware: under 6 Del. C. § 18-104, every Delaware LLC keeps a registered agent with a street address and office in Delaware, open during normal business hours to accept service of process. See our page on Delaware LLC formation.
  • Wyoming: the registered office must be a physical Wyoming location where a person can accept service of process. Virtual addresses, mail drops and P.O. boxes do not qualify, according to the Wyoming Secretary of State registered agent FAQ. See forming a Wyoming LLC.

What our registered agent service includes

Agent named at formation

When we form your New Jersey LLC or a company in another state, the registered agent is named in the formation filing, so the company is compliant from day one.

Scanning and forwarding

Legal papers and state mail received for your company are scanned and sent to you by email. When something time-sensitive arrives, such as a lawsuit or a tax notice, your specialist contacts you the same business day and explains what it is and what the next step usually looks like. The registered address is for legal and state documents only; it is not a general business address or mail-forwarding service.

Keeping the record current

The registered agent appears on your company’s public record and on each annual report. We make sure the agent and address stay correct, and we can file your New Jersey annual report so the two stay in sync.

Changing your registered agent in New Jersey

If you are your own agent today, or your current provider is closing or raising prices, the agent can be changed at any time. New Jersey processes the change through the Division of Revenue and Enterprise Services, listing both the prior and the new agent, with a state filing fee (currently $25 on the NJ Division of Revenue fee schedule). We prepare the filing, submit it and confirm the change on the state record.

Notices sent to an old address are one of the most common reasons companies miss filings. If your registered address has not been checked in a while, it is worth confirming now.

Part of a complete compliance setup

A registered agent is one piece of keeping a company in good standing. Most owners who use it also need an EIN for the LLC and yearly bookkeeping and tax filings. If you live outside the U.S., our page on foreign-owned LLCs explains the full list of yearly obligations.

Our fee is quoted individually before we start. Book a free consultation to set up or change your registered agent.
