A limited liability company is the most common structure for new businesses in New Jersey. It separates business debts from your personal assets, and by default it is taxed simply: a single-member LLC reports on the owner’s personal return, and a multi-member LLC files a partnership return. Getting the company approved by the state takes one filing. Running it properly takes several more; our step-by-step guide on how to start an LLC in NJ lists each one with the 2026 fees.
Our NJ LLC formation service covers the whole start: the state filing, the federal tax ID, New Jersey tax registration and the yearly deadlines that follow. We are a bookkeeping and tax firm in Rochelle Park, so we set up the LLC with its first tax return already in mind. We work with owners across Bergen, Passaic, Essex, Hudson and Morris counties, and online with founders anywhere, in English or Turkish. SolutionHub is a private firm, not a government agency, and state filing fees are paid to the state separately from our fee.
We check that your name is available, prepare the Certificate of Formation and file it online with the New Jersey Division of Revenue and Enterprise Services. The state filing fee is currently $100 (NJ Division of Revenue fee schedule). The certificate lists your registered agent and registered office, which New Jersey law requires every LLC to keep in the state. You can be your own agent with a New Jersey address, or use a registered agent service so legal mail does not go to your home.
Once the LLC exists, it needs an Employer Identification Number to open a business bank account, hire employees and file tax returns. We prepare the application as part of formation. The IRS does not charge for an EIN.
New Jersey’s Getting Registered page asks every new business to file Form NJ-REG after the Certificate of Formation. This registers the LLC for the state taxes it will owe, such as sales tax or employer withholding, and lets you obtain a Business Registration Certificate (BRC). You need the BRC for public contracts and state grants, and many customers ask for it. Our NJ Business Registration Certificate service covers this step on its own if you formed the LLC yourself.
New Jersey does not file the operating agreement, but banks and partners often ask to see one, and every multi-member LLC should have one. Drafting it is legal work, so we can refer you to an attorney for your operating agreement.
Every New Jersey LLC files an annual report each year by the end of its anniversary month, the month it was formed. The fee is currently $75, and the report confirms your registered agent and addresses. Missed reports put the LLC’s good standing at risk. We add the date to your compliance calendar, or file it for you with our NJ annual report service.
By default the IRS ignores a single-member LLC for income tax: profit goes on the owner’s Form 1040, Schedule C. A multi-member LLC files a partnership return and gives each member a Schedule K-1. Once profits grow, some owners choose to have the LLC taxed as an S corporation to pay part of the profit as salary instead of self-employment income. Our S-corp election page explains when that tends to make sense. Our LLC vs S corp guide runs the numbers.
If your business has an office, employees, inventory or customers in New Jersey, an NJ LLC is usually the simplest choice. An LLC formed in another state that does business here generally has to register in New Jersey as a foreign LLC as well, so you pay fees and file reports in two states. Delaware or Wyoming tends to make sense for founders with no New Jersey presence. The business formation overview compares the options.
Formation is the start of the paperwork, not the end. New LLC owners usually need a clean bookkeeping file from the first month and someone to file the first business tax return. Our monthly bookkeeping keeps the records ready for tax time, and our small business clients usually keep the same specialist from formation through every year-end.
