Foreign-Owned LLCs

A U.S. LLC owned from abroad still needs a registered agent, an EIN and, in most cases, a Form 5472 every year. We handle all of it remotely, in English or Turkish.

A U.S. LLC run from abroad

A non resident LLC is a U.S. limited liability company owned by someone who lives outside the United States. Founders choose it to sell to U.S. customers, work with U.S. platforms and partners, or give a growing business a U.S. base. Forming the company is the easy part. What follows each year is where most owners run into trouble: an EIN without a Social Security number, Form 5472, state fees, and the question of whether any U.S. tax is owed.

We work with founders in Turkey and around the world who own LLCs in Delaware, Wyoming, New Jersey and other states. You get one dedicated specialist, in English or Turkish, from formation through every yearly filing.

Forming your LLC as a non-resident

We start with where your business will actually operate. A company with U.S. staff, inventory or an office usually belongs in that state. An online business without U.S. operations often fits a Delaware LLC or a Wyoming LLC. Owners who live in or plan to move to the New York area sometimes choose a New Jersey LLC. We compare the yearly costs and filings of each state with you before anything is filed. Our guide to the best state for a non-resident LLC sets out the 2026 fees side by side.

Every LLC needs a registered agent in its state to receive legal and state mail, and we arrange it as part of formation.

EIN without an SSN

The LLC needs an EIN to open a bank account and file with the IRS. The IRS online EIN application requires an SSN or ITIN, so most foreign owners can’t use it. We prepare Form SS-4 and file it by fax or phone, with the company correctly identified as a foreign-owned U.S. disregarded entity. Our EIN application service explains the process in detail.

Once the LLC has a bank account, payers and platforms will ask you for a tax form. As the foreign owner of a single-member LLC, you normally sign Form W-8BEN in your own name, not a W-9 for the LLC. Our W-8BEN guide explains which form applies and how to fill it out.

Yearly IRS filings: Form 5472 and 1040-NR

Form 5472

A foreign-owned single-member LLC is usually ignored for income tax purposes, but it is not ignored for reporting. Each year it files Form 5472 with a pro forma Form 1120, listing transactions between the LLC and its foreign owner, including money you put in and take out. It can’t be e-filed: it goes to the IRS by fax or mail. The penalty for not filing is $25,000. We prepare and file Form 5472 for you, and request an extension with Form 7004 when needed. Our guide to Form 5472 instructions walks through the form line by line.

Form 1040-NR

If your LLC’s income is effectively connected with a U.S. trade or business, you as the owner usually file a personal nonresident tax return on Form 1040-NR. Whether that applies depends on what the business does in the U.S. and on any tax treaty with your country. We review it with you before year-end, not after.

ITIN through a Certifying Acceptance Agent

Filing a 1040-NR requires an individual tax number. If you don’t have an SSN, that means an ITIN. As a Certifying Acceptance Agent (CAA) authorized under the IRS Acceptance Agent Program, we can verify your passport and submit your ITIN application without you mailing the original document to the IRS.

Bookkeeping that supports your filings

Form 5472 asks for the amounts that moved between you and your company during the year. That is easy to report when the books are kept monthly and hard to rebuild from a year of bank statements. Our monthly bookkeeping in QuickBooks Online keeps owner contributions, distributions and expenses separated, so the yearly filings take days rather than weeks.

Frequently asked questions

Yes. In general, U.S. states do not require LLC owners to be U.S. citizens or residents. A non-resident can form and own an LLC in Delaware, Wyoming, New Jersey or another state. The company still needs a registered agent in its state, an EIN from the IRS and, in most cases, yearly federal filings.

It depends on where the business actually operates. If you will have an office, staff or customers in a specific state, forming there or registering there is usually required anyway. For an online business without U.S. operations, many founders choose Delaware or Wyoming. We compare yearly state costs and filings with you before you decide.

Most foreign-owned single-member LLCs must file Form 5472 attached to a pro forma Form 1120, even if the LLC had no income. It is due by the corporate return due date, generally April 15 for a calendar-year company, and an extension is available with Form 7004. State filings, such as an annual report or annual tax, come on top.

The IRS penalty for failing to file Form 5472 when due is $25,000, with an additional $25,000 if the failure continues more than 90 days after the IRS notifies you. That is why we treat Form 5472 as the most important yearly deadline for foreign owners.

No. A foreign owner who doesn't have and isn't eligible for an SSN or ITIN can still get an EIN. The IRS online application is not available in that case, so Form SS-4 is filed by fax or mail, or international applicants can call the IRS.

It depends on whether the income is effectively connected with a U.S. trade or business, and on any tax treaty between the U.S. and your country. If it is, you usually file Form 1040-NR and may owe U.S. tax. We review your situation on a consultation before giving an answer for your case.

No. Formation, the EIN, bookkeeping and tax filings are handled remotely. Documents are signed electronically or by scan where allowed, and our meetings are held by video at times that suit your time zone.
