Keep your New Jersey company in good standing
Every LLC and corporation registered in New Jersey must file an annual report with the state each year. It is a short filing: you confirm your company’s main address, its registered agent and the people who run it, and pay the state fee. But because it comes once a year, in a different month for every business, it is easy to forget. Missing it for long enough can cost you your company’s active status.
Our NJ annual report filing service takes that date off your list. We record your anniversary month, check your details ahead of time, file the report and send you the confirmation. Many clients add it from the start when we handle their business formation, so the first report is already on our calendar.
When the NJ annual report is due
The New Jersey annual report is due by the last day of your company’s anniversary month, the month in which the business was formed or first registered in New Jersey. The state filing fee is currently $75 for LLCs and corporations, according to the NJ Division of Revenue fee schedule.
The business is responsible for filing even if the state’s reminder never arrives. If you moved, changed your registered agent or don’t open state mail regularly, that reminder can easily go missing.
What our NJ annual report filing includes
A calendar you don’t have to keep
We look up your company’s formation month and business entity ID and add the report to our filing calendar. You hear from us before the month begins.
Details checked before filing
The annual report updates the state’s public record, so we check what it will say: the main business address, the registered agent and registered office, and the names and addresses of members, managers, officers or directors. If something changed during the year, we tell you before the report goes in.
Filing and confirmation
We file the report online and send you the state’s confirmation for your records. If you are a monthly bookkeeping client, the filing sits next to your other recurring deadlines, such as NJ sales tax returns.
Certificate of good standing on request
Banks, lenders and other states sometimes ask for proof that your company is in good standing. On request, we order a New Jersey standing certificate once your annual reports are current. The state charges a separate fee for it (currently $50 for an LLC short-form certificate and $25 for a corporation).
Missed annual reports and revocation
If a New Jersey business fails to file annual reports for two consecutive years, the state can void the company’s charter or revoke its authority to do business in New Jersey, as the Division of Revenue’s reinstatement page explains. A revoked company loses its active status with the state, which can cause problems with banks, contracts and permits.
Recent lapses can usually be fixed. Reinstatement starts with filing the missed annual reports and paying a reinstatement fee, and some companies must also obtain a tax clearance certificate showing their state taxes are in order. We handle the filings and tell you upfront which state fees apply. If years of state tax returns are also missing, our back taxes and notices service can usually help with recent years.
Annual obligations in Delaware and Wyoming
If your LLC is formed outside New Jersey, the yearly state requirement looks different:
- Delaware LLCs don’t file an annual report, but pay the Delaware LLC annual tax (currently $400) on or before June 1. A late payment adds a penalty and interest. See Delaware LLC formation.
- Wyoming LLCs file an annual report by the first day of their anniversary month and pay a license tax (currently a $60 minimum). A company that hasn’t filed within 60 days of the due date is administratively dissolved, according to the Wyoming Secretary of State business FAQ. See Wyoming LLC formation.
A company formed in Delaware or Wyoming that does business in New Jersey is also registered in New Jersey, and then files the New Jersey annual report too.
The annual report keeps your company alive with the state. Clean books and an on-time business tax return keep it healthy with the IRS. Our fee is quoted individually before we start, so book a free consultation and we will check when your next report is due.
