How our business formation services fit together
Starting a company in the U.S. comes in layers. First you choose an entity and a state. Then the state approves the company, the IRS issues an EIN, and the state where you operate registers you for its taxes. After that come the yearly items: annual reports, state taxes and the federal return. Most LLC formation services stop after the first layer. We stay for all of them, because we are the firm that later keeps your books and files your return.
Choosing the entity
- LLC. The default choice for most small businesses. Profit is taxed on the owners’ returns, paperwork is light, and owners can live anywhere.
- C corporation. The structure investors expect, taxed at a flat 21% federal rate on its own profit (26 U.S.C. § 11). See C-corp formation.
- S corporation. Not a separate entity but a tax election an LLC or corporation can make with Form 2553. It can lower self-employment tax for profitable owner-run businesses, but nonresident aliens cannot be shareholders. See S-corp election.
We compare these options from a tax and paperwork angle. We are not a law firm, so for legal advice on your structure, consult an attorney.
Choosing the state
If your business has an office, staff or customers in New Jersey, an NJ LLC is usually simplest, because a company formed in another state generally has to register here anyway. Delaware usually fits companies planning to raise investment. Wyoming often fits small online businesses and non-resident founders who have no office in any one state, since its yearly state cost is low.
Who we form companies for
- New Jersey and New York business owners moving from a sole proprietorship to an LLC or corporation. Our small business clients often keep the same specialist for years.
- Founders abroad, especially in Turkey, forming a U.S. LLC remotely. Our foreign-owned LLC page covers the IRS filings involved, including Form 5472.
- Startups incorporating in Delaware or New Jersey before raising money.
Local and online
You can meet us at our office in Rochelle Park or by video. Documents are shared and signed online, so the whole process also works for founders who never visit New Jersey. We serve clients in English and Turkish.
What we don’t do: we do not open U.S. bank accounts, provide U.S. addresses or mail forwarding, or set up payment and marketplace accounts such as Stripe or Amazon. We prepare the formation documents and EIN letter those providers usually ask for.
SolutionHub is a private firm, not a government agency. We file the state formation documents you approve, using the information you provide, and state filing fees are paid to the state separately from our fee.
After formation
The work that keeps a company in good standing starts after approval. Our monthly bookkeeping keeps records ready for tax time, and our business tax returns service files the federal and state returns each year. Every fee is fixed and agreed before work starts, so book a free consultation to plan your company.
