Wyoming has become a common choice for founders who sell online, work as freelancers or run a software business without an office in any particular U.S. state. Forming the company is a single filing, and the yearly state cost is low. That makes Wyoming LLC formation attractive to non-resident founders, including many in Turkey.

What a Wyoming LLC does not do is remove your federal obligations. The IRS filings for a U.S. LLC are the same whichever state you choose, and missing them is far more expensive than any state fee. We are a bookkeeping and tax firm in New Jersey, so we form the LLC with those filings already on the calendar, and we work with founders in the U.S. and abroad fully online. SolutionHub is a private firm, not a government agency, and Wyoming state fees are paid to the state separately from our fee.

What our Wyoming LLC service includes

Articles of Organization

We check name availability, prepare the Articles of Organization and file them with the Wyoming Secretary of State. The state filing fee is currently $100 (Wyoming business filing fee schedule). Wyoming requires every LLC to maintain a registered agent that meets state law; we arrange the agent as part of the filing, and our registered agent page explains what the agent does.

EIN from the IRS

The LLC needs an EIN for banking, payment platforms and tax filings. If you live outside the U.S., the IRS online EIN application is not available, so we file by fax or mail through our EIN application service. The IRS does not charge for an EIN.

Operating agreement

Wyoming does not require you to file an operating agreement, but banks and platforms often ask for one. Drafting it is legal work, so we can refer you to an attorney for your operating agreement.

What we need from you

For most Wyoming LLCs we need a copy of each owner’s passport or ID, a home address (a foreign address is fine), two or three name options, the ownership percentages and a short description of what the business does. Everything is shared and signed online, and meetings take place by video at a time that suits your time zone.

Wyoming annual report and license tax

According to the Wyoming Secretary of State’s What’s Next guide, every Wyoming LLC files an annual report on or before the first day of its anniversary month, starting on its first anniversary. With the report it pays a license tax of currently $60, or two-tenths of one mill on the dollar ($0.0002) of the company’s assets located and employed in Wyoming, whichever is greater. For most online LLCs with no assets in the state, that means the minimum. Wyoming sends reminders by email, so we also keep the date on your compliance calendar.

Wyoming vs. Delaware vs. New Jersey

  • Wyoming usually suits a small online LLC with no office, staff or inventory in any one state. The yearly state cost is low.
  • Delaware usually suits a company planning to raise venture capital, typically as a C corporation. Its annual LLC tax is currently $400. See Delaware LLC formation.
  • New Jersey usually suits a business that actually operates here. A Wyoming LLC with an office, employees or a shop in New Jersey generally has to register in New Jersey as a foreign LLC too, so you end up paying both states. In that case a New Jersey LLC is simpler.

Our business formation overview shows how the options fit together, and our guide to the best state for an LLC if you live outside the U.S. compares 2026 fees and yearly filings. If you are unsure, the free consultation is the place to decide.

After formation: Form 5472, taxes and bookkeeping

A Wyoming LLC owned by one foreign person is treated as a disregarded entity and must file Form 5472 attached to a pro forma Form 1120 each year, even with no income. The IRS penalty for not filing starts at $25,000. Our Form 5472 filing service handles it every year. Clean monthly bookkeeping from the first month makes that filing and any future tax return straightforward.

What we don’t do: we do not open U.S. bank accounts, provide U.S. addresses or mail forwarding, or set up Stripe, PayPal or Amazon seller accounts. We do prepare the formation documents and EIN letter those providers usually ask for.

Short answers to what founders ask us most.

Founders in Turkey and other countries forming a U.S. LLC remotely, freelancers, consultants and software sellers working online, and U.S. founders who want a low-cost LLC for an online business.

We apply for the EIN, refer you to an attorney for your operating agreement if you need one and add the annual report and Form 5472 dates to your calendar. Bank and payment accounts you then open directly with the provider, using the documents we prepared.

Wyoming administratively dissolves an LLC that has not filed within 60 days of the due date. We keep the date on your calendar so it never gets that far.

Frequently asked questions

The Wyoming filing fee for Articles of Organization is currently $100. Each year the LLC files an annual report and pays a license tax of currently $60, or two-tenths of one mill on its Wyoming assets if that is higher. You also need a Wyoming registered agent, which is a paid service. Our fee is a fixed quote.

Yes. You do not need to live in Wyoming or the U.S., or be a U.S. citizen, to own a Wyoming LLC. You do need a registered agent that meets Wyoming law. Non-resident owners also need an EIN, and a foreign-owned single-member LLC must file Form 5472 each year.

The annual report is due on or before the first day of the month in which the LLC was formed, starting on its first anniversary. An LLC formed on February 16, for example, files by February 1 each year. Wyoming sends reminders to the principal office email on file.

If your business operates in another state, such as New Jersey, the Wyoming LLC usually has to register there as a foreign LLC as well, so you pay two states. Wyoming also lacks Delaware's familiarity with venture investors, so it is rarely the choice for a startup planning to raise money.

For a small online LLC with no U.S. office, Wyoming usually costs less each year: a license tax of currently $60 minimum against Delaware's annual LLC tax of currently $400. Delaware tends to make more sense for companies planning to raise investment, which usually means a C corporation.

The state does not change federal rules. A single-member LLC owned by a U.S. person reports on the owner's return. One owned by a foreign person files Form 5472 with a pro forma Form 1120 every year, even with no income. A multi-member LLC files a partnership return.
